Terms of Service

Welcome to Perstack. These Terms of Service ("Terms") govern your access to and use of the Perstack platform, including Studio, Gallery, Runtime, and related services (collectively, the "Service") operated by Wintermute Technologies, Inc. ("Perstack," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Perstack is an AI agent toolkit platform that enables users to:

  • Create Experts: Define AI agents using natural language instructions, skills, and permissions through Studio
  • Execute Experts: Run AI agents in a sandboxed runtime environment with configurable LLM providers
  • Discover Experts: Browse and use community-created AI agents through Gallery
  • Integrate: Access the platform programmatically through APIs and CLI tools

The Service integrates with third-party Large Language Model (LLM) providers including Anthropic, OpenAI, Google, DeepSeek, Azure OpenAI, Amazon Bedrock, and Google Vertex AI. You are responsible for providing your own API credentials for these services.

2. Account Registration

2.1 Account Creation

To access certain features of the Service, you must create an account. You may register using email and password or through OAuth providers (GitHub, Google). You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.3 Organizations

Accounts may be organized into Organizations for team collaboration. Organization owners and administrators are responsible for managing member access and ensuring compliance with these Terms by all members.

3. User Content and Intellectual Property

3.1 Your Content

You retain ownership of all content you create using the Service, including Expert definitions, instructions, configurations, and workspace files ("User Content"). By submitting User Content, you grant Perstack a worldwide, non-exclusive, royalty-free license to host, store, and display your User Content solely for the purpose of providing the Service.

3.2 Published Experts

When you publish an Expert to Gallery, you grant other users a license to execute your Expert according to the permissions you configure. Published versions are immutable and cannot be modified after publication. You may yank or deprecate versions but cannot delete execution history.

3.3 Open Source Components

The Perstack Runtime is licensed under the Apache License 2.0. Your use of open-source components is governed by their respective licenses.

4. Third-Party Services

4.1 LLM Providers

The Service enables integration with third-party LLM providers. Your use of these providers is subject to their respective terms of service and privacy policies. You are responsible for:

  • Obtaining and maintaining valid API credentials for your chosen providers
  • Complying with the usage policies and terms of each provider
  • Any costs incurred through your use of third-party APIs
  • Ensuring your use of LLM outputs complies with applicable laws

4.2 MCP Services

Experts may integrate with external MCP (Model Context Protocol) services and tools. You are responsible for any third-party services you configure and the data transmitted to them.

5. Billing and Credits

5.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription plans include monthly credit allocations and feature access. Plans and pricing are subject to change with reasonable notice.

5.2 Credits

The Service uses a credit-based system for job execution. Credits may be:

  • Included in your subscription plan (monthly grants)
  • Purchased separately
  • Subject to expiration as specified at time of grant or purchase

5.3 Payment

Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for all applicable taxes.

5.4 Refunds

Subscription fees are generally non-refundable except as required by law or at our sole discretion. Unused credits do not carry over beyond their expiration date.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Create or distribute malicious software, viruses, or harmful code
  • Engage in unauthorized data collection or scraping
  • Attempt to gain unauthorized access to systems or accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Circumvent usage limits, rate limits, or access controls
  • Resell or redistribute the Service without authorization
  • Use the Service to develop competing products using our proprietary technology

7. Service Availability and Modifications

7.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable during maintenance, updates, or due to circumstances beyond our control.

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that significantly impact your use of the Service.

8. Data and Security

8.1 Data Storage

User data is stored on secure infrastructure. Sensitive data such as secrets and provider API keys are encrypted at rest. However, you acknowledge that no system is completely secure.

8.2 Execution Logs

Job execution creates detailed logs including checkpoints, messages, and token usage. These logs are retained for your reference and may be used for debugging and service improvement.

8.3 Your Responsibilities

You are responsible for securing your own API keys, credentials, and sensitive data. Do not include sensitive information in Expert instructions or outputs that may be visible to other users.

9. Disclaimers

9.1 AI Output Disclaimer

THE SERVICE UTILIZES ARTIFICIAL INTELLIGENCE AND LARGE LANGUAGE MODELS. AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ALL AI-GENERATED CONTENT BEFORE USE. PERSTACK DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, OR SUITABILITY OF ANY AI OUTPUT.

9.2 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

9.3 Sandbox Limitations

While Experts execute in sandboxed environments, no sandbox is perfect. The security measures are designed to limit risk but cannot guarantee complete isolation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Perstack, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of third-party LLM providers through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us. Upon termination, your right to access the Service will cease immediately.

12.2 By Us

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion with or without notice.

12.3 Effect of Termination

Upon termination, your User Content may be deleted. Published Experts in Gallery may remain available but will be marked as from a deactivated account. Any outstanding payment obligations survive termination.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

13.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Perstack regarding the Service.

13.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
